Business terms for organisations using MDataService to manage social pages, customer conversations and connected tools.

1. Agreement and parties

These Terms govern the agreement between MDataService and the customer ordering or using the service. The person accepting them confirms authority to bind the business.

The service is offered to businesses, organisations and public entities for professional use. It is not offered to individuals acting as consumers. Contact us before ordering if the service will be used wholly or mainly for private purposes.

If translations conflict, the Norwegian text prevails.

2. The service

MDataService centralises the customer's authorised pages and accounts in one desktop application. Depending on the selected subscription and available integrations, customers can create and publish posts, schedule content, receive and answer comments and messages, use WhatsApp-related features, and manage bookings or meetings from supported platforms.

A feature forms part of the agreement only when included in the order or activated for the account. Platform providers may change or remove APIs, permissions and functions, so third-party integrations cannot be guaranteed permanently in the same form.

3. Account, authority and users

The customer must provide accurate business and contact details, protect credentials and restrict access to authorised staff and contractors. The customer is responsible for actions through its account unless caused by a security breach for which MDataService is responsible.

The customer must hold the necessary administrator access, authority and rights for every page, account, number, calendar or system connected to the service.

4. Subscription and ordering

Available contract periods appear in the order. Price, modules, users, pages and usage limits follow the order confirmation, which prevails over these general Terms if they conflict.

A free trial does not automatically become paid unless this is clearly disclosed and actively accepted by the customer.

5. Cancellation, commitment and renewal

A monthly subscription can be cancelled with the number of full calendar months shown below. The month in which notice is received is not a full notice month. Service and charges continue until the notice period expires.

A 12- or 24-month commitment runs for the agreed term and ordinarily cannot end early without payment of the remaining agreed charges. Cancellation during the commitment prevents renewal after the term. After the commitment, the plan renews monthly unless the order says otherwise.

The example below shows how the configured notice period is calculated. The end date is the actual final day of the last full notice month.

Prepaid amounts and unused commitment are normally non-refundable unless the agreement, a proven breach or mandatory law provides otherwise.

6. Price, invoicing and late payment

Prices are in the stated currency and exclude VAT and public charges unless expressly stated otherwise. Payment is due on the invoice date shown. Late interest and lawful collection costs may be charged under Norwegian law.

Access may be suspended after written notice if an overdue amount remains unpaid beyond the stated period. A specific, reasoned invoice dispute must be raised without undue delay; undisputed amounts remain payable.

Price changes are notified before taking effect. The base price remains fixed during a current commitment, except for tax, law, customer-requested changes or third-party charges expressly made variable in the order.

7. Third-party platforms, WhatsApp and booking

Facebook, Instagram, Messenger, WhatsApp and other platforms are provided by independent third parties. Customers must follow their current terms, permissions, messaging rules, fees and usage requirements. MDataService does not control their approval, uptime or changes.

Booking and calendar functions are administrative aids. The customer must verify availability, confirm appointments, handle cancellation and ensure information given to its own customers is accurate.

8. Customer responsibilities

The customer controls its business, audience, content and customer dialogue. It must:

  • be authorised to administer all connected accounts
  • hold rights and permissions for text, images, video, trade marks and personal data
  • give its customers and followers required privacy information and have a lawful basis
  • manage users, roles and departed staff
  • use strong access controls and promptly report misuse
  • follow platform terms, industry rules and applicable law

9. Customer content and licence

The customer retains ownership of its content and grants MDataService and necessary processors a limited, non-exclusive, time-limited licence to store, technically adapt, process and transmit it only to provide selected features and follow instructions.

MDataService does not use customer audience data for its own advertising. Customers should retain copies of important content and export required data before termination.

10. Optional diagnostics

Customers may voluntarily enable diagnostics to help troubleshooting, crash analysis, security and reliability. Diagnostics are off by default and can be disabled at any time.

Diagnostics may include app version, operating system, device type, technical events, stack traces and pseudonymous installation or correlation identifiers. Post, message and comment content is excluded by default. The Privacy Policy provides further details.

11. Updates and new tools

The service may be updated for security, bug fixes, compatibility and improvement. Critical security updates may be immediate. Customers must install or allow necessary updates to remain on a supported version.

New tools may be included, free, paid add-ons or beta functions. The customer chooses whether to activate optional tools. A paid module requires clear pricing and an order. We will not materially reduce contracted core functionality during a commitment without valid reason or a reasonable alternative.

12. Acceptable use

The service must not be used for illegal content, infringement, spam, harassment, deceptive identity, malware, unauthorised surveillance, circumvention of platform restrictions, unlawful data collection or attempted unauthorised access. Resale or making the service available to others requires written agreement.

13. Operations, maintenance and support

We work for stable operation but do not promise uninterrupted or error-free service without a separate SLA. Maintenance, internet faults, customer equipment and third-party platforms may affect availability.

A stated response time is a service target, not a guaranteed resolution time. Customers must provide sufficient non-sensitive information to reproduce an issue and may be invited to enable diagnostics voluntarily.

14. Intellectual property

MDataService and licensors retain rights in the software, design, documentation, marks and developments. The customer receives a limited, non-exclusive, non-transferable right of use during the agreement. It must not copy, decompile, bypass security, remove notices or build competing services from protected parts, except where law expressly permits.

15. Privacy and data processing agreement

MDataService controls its account, invoice, security and support data. When processing messages, comments, content or audience data on customer instructions, the customer is normally the controller and MDataService the processor. The data processing agreement and Privacy Policy apply in addition to these Terms.

16. Confidentiality

Each party must protect non-public business, technical and security information and use it only to perform the agreement. This does not cover information lawfully public, already known without restriction, independently developed or required by lawful order.

17. Suspension and termination

MDataService may limit or suspend service where necessary for security, law, platform requirements, serious misuse or material non-payment. Where safe, the customer receives notice and an opportunity to cure within the stated period.

A material breach not cured in time permits termination. Serious illegality, attacks or abuse may justify immediate suspension or termination. After termination, access is disabled and data is handled under the Privacy Policy and data processing agreement.

18. Service limitations

The service is an administration tool and does not guarantee publication outcomes, sales, reach, platform approval, third-party message delivery or permanent availability of every platform feature. Customers must verify important posts, responses and bookings.

19. Liability

To the extent Norwegian law permits, neither party is liable for indirect loss, business interruption, lost profit, expected savings or loss avoidable by reasonable backups. MDataService is not liable for third-party platform failures, customer content, missing authority, customer configuration or unlawful use.

MDataService's total liability in a twelve-month period is capped at subscription fees actually paid for the stated preceding months. Limits do not apply where liability cannot lawfully be limited or loss is caused intentionally or by gross negligence. 12 months.

20. Events outside control

A party is not liable for delay or failure caused by circumstances beyond reasonable control, including widespread network or power failure, government action, conflict, natural events, labour disputes, severe cyber incidents or critical supplier failure. It must notify and reasonably mitigate effects.

21. Changes to the Terms

We may amend the Terms for law, security, new features or reasonable operational needs. Material changes receive the stated advance notice. A materially adverse change normally applies to an existing commitment only at renewal unless required by law, platform rules or security. 30 days.

22. Law, disputes and general provisions

Norwegian law governs. The parties first try to resolve disputes by negotiation for the stated period. Unresolved disputes may be brought before the agreed venue. Invalidity of one term does not affect the rest, and delay in exercising a right is not a waiver.
